Refund and Cancellation Policy

This Refund and Cancellation Policy (“Policy”) outlines the conditions under which refunds or cancellations of services provided by Balit and Sons Technologies Private Limited (“Balit and Sons,” “we,” “us,” or “our”) may be considered. This Policy is an integral part of our Terms and Conditions, and by engaging with our services, you agree to be bound by its terms.


1. General Principle: Non-Refundable Payments

1.1. Commitment to Project Completion: Balit and Sons commits to delivering the Services as outlined in the mutually agreed-upon Statement of Work (SOW) or project proposal. Our services involve significant allocation of resources, expertise, and time from the outset of a project, including but not limited to, project planning, resource allocation, research, design, development, and testing.

1.2. Payments are Non-Refundable: Due to the custom, highly specialized, and resource-intensive nature of our services (including Web Development, Software & App Development, Datamatrix Creation/RFID Integration, AI & ML Model Development, AI-based Product Research, Automation Software Development, Label Management Solutions, and Investment & Business Strategy Consulting), all payments made to Balit and Sons are strictly non-refundable under any circumstance, except for the specific, limited exception detailed in Section 2.1 below.

1.3. Client-Initiated Cancellations: If the Client initiates a cancellation of a project or any part of the Services for any reason (e.g., change of mind, change in business strategy, external factors affecting the Client’s business, inability to provide required information, or any other reason not attributable to Balit and Sons’ failure to perform as per the Agreement), any payments already made will not be refunded. Furthermore, the Client will be liable for the full amount of work completed up to the date of cancellation, as well as any outstanding amounts as per the payment schedule outlined in the SOW, even if the project is not fully completed.


2. Limited Exception for Refund

2.1. Inability to Complete Project by Balit and Sons: A refund will only be considered in the special instance where Balit and Sons Technologies Private Limited is demonstrably and unequivocally unable to complete the project as per the agreed-upon Statement of Work (SOW). This exception is strictly limited to situations where Balit and Sons, despite its best efforts and internal investigations, determines that it cannot deliver the core functionalities or complete the agreed scope of work due to reasons solely attributable to Balit and Sons (e.g., unforeseen internal technical incapacities or resource limitations that prevent project completion).

2.2. Process for Refund Consideration under Exception: * If the Client believes this specific exception applies, they must submit a formal written request to Balit and Sons’ Tech Support Team (support@balitandsonstechnologies.com), clearly detailing the specific reasons and evidence of Balit and Sons’ inability to complete the project. * Balit and Sons will conduct a thorough internal investigation, which may include technical reviews, project assessments, and communication with relevant teams. * If, upon internal investigation and at our sole discretion, Balit and Sons determines that it is indeed unable to complete the project as per the SOW for reasons solely attributable to us, a pro-rata refund will be considered. The refund amount will be calculated based on the portion of the project that remains uncompleted and undeliverable, deducting any costs, expenses, and efforts already invested by Balit and Sons up to the point of determination. This calculation will be at the sole discretion of Balit and Sons. * The decision to grant a refund under this exception, and the exact amount of such refund, will be final and binding.


3. Cancellation Policy

3.1. Client-Initiated Cancellation: * Clients may request to cancel Services at any stage of a project by providing written notice to Balit and Sons. * As stated in Section 1.2, such cancellation will not entitle the Client to a refund of any payments already made. * Upon client-initiated cancellation, Balit and Sons reserves the right to cease all further work on the project immediately. The Client will be invoiced for any work completed beyond the scope covered by previous payments, and such invoices will be due immediately.

3.2. Cancellation by Balit and Sons: Balit and Sons reserves the right to cancel or suspend Services, or terminate an Agreement, without refund, in the event of: * The Client’s material breach of the Terms and Conditions (including, but not limited to, failure to make timely payments, failure to provide necessary information, or violation of Intellectual Property Rights). * Any unlawful or fraudulent activity by the Client. * Circumstances where continuing the project becomes technically unfeasible or commercially impractical due to reasons outside Balit and Sons’ control (e.g., changes in third-party services, legal restrictions), provided such circumstances are not covered by the exception in Section 2.1. In such cases, Balit and Sons will provide written notice to the Client.


4. Processing of Approved Refunds (Under Section 2.1 Exception Only)

4.1. If a refund is approved under the specific exception outlined in Section 2.1: * Refunds will be processed within [e.g., 30-45] business days from the date of written approval of the refund amount by Balit and Sons. * Refunds will be issued to the original payment method used by the Client for the payment. * Balit and Sons will not be responsible for any delays caused by the Client’s bank or payment service provider.


5. No Compensation Policy for Delays or Non-Performance (Except as per Section 2.1)

5.1. While Balit and Sons strives for timely and high-quality service delivery, we do not guarantee that services will be entirely error-free or immune to unforeseen delays inherent in complex technology development. 5.2. No Compensation for Project Delays or Minor Issues: Unless explicitly covered by the limited refund exception in Section 2.1, Balit and Sons will not provide refunds or compensation for: * Project delays caused by factors outside our reasonable control (e.g., Client delays in providing feedback or content, third-party service issues, Force Majeure events). * Minor defects, bugs, or issues that do not materially affect the core functionality of the Deliverables, which will be addressed as part of our standard bug fixing or warranty (as per Terms and Conditions). * Any indirect, incidental, or consequential damages arising from the use or inability to use our services, or any delays in their development or delivery. * Costs incurred by the Client due to reliance on preliminary versions or unapproved stages of Deliverables.
